Privacy Policy

This Privacy Policy explains how Sagefort Law PLLC (the 'Firm,' 'we,' 'us,' or 'our') collects, uses, discloses, and protects personal information through https://sagefortlaw.com (the 'Website') and related communications with the Firm. It does not apply to information the Firm collects in the course of representing a client, which is governed by the Firm's professional obligations and any engagement agreement.

By using the Website, you acknowledge that you have read this Privacy Policy. This Privacy Policy is incorporated into the Firm's Terms of Use.

1. Information We Collect

Information you provide. When you submit the consultation-request or contact form, the Website collects your first and last name and email address, and — if you choose to provide them — your telephone number and any information you include in the free-text description of your legal need. If you correspond with the Firm by email or telephone, we receive the information you choose to provide.

Do not submit confidential, privileged, or sensitive information through the Website before an attorney-client relationship is established by a signed engagement agreement.

Information collected automatically. When you visit the Website, our hosting provider records limited technical information in its server logs, such as your IP address, device and browser type, referring pages, pages viewed, and the dates and times of access. This is generated by the act of delivering the Website to you and is used to operate and secure it. Any collection that goes beyond this and relies on cookies or similar technologies takes place only with your consent, as described in Section 2.

2. Cookies and Similar Technologies

The Website uses only technologies that are strictly necessary for it to function, unless you tell us otherwise. That necessary storage is limited to a record of the cookie choice you make on the Website, which is kept in your browser, contains no identifier, and is not transmitted to the Firm.

Every other category is switched off until you consent to it, and is not loaded at all unless you do. At the date of this Policy the Website runs no analytics, advertising, or social-media tracking technology of any kind.

You may give, refuse, or withdraw consent at any time, and withdrawing is as straightforward as giving it: use the Cookie Settings control in the footer of any page, or the button below. Refusing or withdrawing does not restrict your access to the Website or any part of it. You may also set your browser to refuse some or all cookies or to alert you when cookies are being sent.

If the Firm later introduces further technologies of this kind — browser cookies, locally stored objects, or web beacons and pixel tags — they will appear as a category in the Cookie Settings panel and, unless strictly necessary, will operate only with your consent. Pixel tags in the Firm's email messages, where used, are governed by the choices offered in those messages rather than by the Website's cookie settings.

3. How We Use Information

We use the information described above to:

  • review and respond to your inquiry and determine whether the Firm may be able to assist;
  • communicate with you, including to arrange a consultation;
  • operate, maintain, secure, and improve the Website;
  • send communications you have requested, such as newsletters or updates, where you have signed up to receive them; and
  • comply with applicable law and the Firm's professional and recordkeeping obligations.

4. How We Disclose Information

We do not sell your personal information. We disclose personal information only as follows:

  • Service providers. We use third-party providers to operate the Website and process inquiries, including our website-inquiry and client-intake provider (Clio) and, where applicable, a scheduling provider and hosting or analytics providers. These providers process information in connection with providing services to the Firm, subject to applicable agreements and law.
  • Legal and protective purposes. We may disclose information where reasonably necessary to comply with applicable law, legal process, or a governmental request; to enforce the Terms of Use; or to protect the rights, property, safety, or security of the Firm, users, or others.
  • Business transfers. We may disclose information in connection with a merger, reorganization, or transfer of the Firm's practice or assets, subject to applicable law.

5. Third-Party Links and Services

The Website may link to or incorporate third-party sites and services, including social-media platforms and mapping or scheduling tools. Those third parties are not controlled by the Firm, and their handling of your information is governed by their own privacy policies. We encourage you to review them.

6. Data Security

We maintain reasonable administrative, technical, and physical safeguards designed to protect personal information collected through the Website, consistent with applicable law. No method of transmission over the internet or electronic storage is completely secure, and we cannot guarantee absolute security.

7. Data Retention

We retain personal information collected through the Website for as long as reasonably necessary to fulfill the purposes described in this Privacy Policy, including to respond to your inquiry, to comply with the Firm's legal, professional, and recordkeeping obligations, and to resolve disputes, after which we take reasonable steps to delete or de-identify it.

8. Children's Privacy

The Website is intended for adults and is not directed to children under 13, and we do not knowingly collect personal information from children under 13 through the Website. If you believe a child under 13 has provided personal information through the Website, contact us at info@sagefortlaw.com and we will take appropriate steps to delete it.

9. Your Choices

You may unsubscribe from newsletters or other commercial email by using the unsubscribe mechanism in the message or by contacting us. This does not affect communications about an inquiry or matter you have raised.

You may give, refuse, or withdraw your consent to non-essential cookies at any time using the Cookie Settings control in the footer of any page, or through your browser settings, as described in Section 2.

You may contact us at info@sagefortlaw.com to ask about, update, or request deletion of the information you submitted through the Website, and we will respond as required by applicable law.

10. Changes to This Privacy Policy

We may update this Privacy Policy from time to time. The revised version will be posted on the Website with an updated "Last Updated" date shown below, and applies when posted unless a later date is stated. If we make material changes to how we handle personal information collected through the Website, we will provide more prominent notice, such as a notice on the Website's home page.

1. This Website Is Informational and Is Not Legal Advice

The content of this Website is provided for general informational purposes only and is not legal advice. It is not a substitute for advice from an attorney who has been retained and has considered your specific facts and circumstances. You should not act, or refrain from acting, based on anything on this Website without seeking professional legal counsel.

2. No Attorney-Client Relationship

Using this Website, reviewing its content, or submitting a consultation request or other communication through it does not create an attorney-client relationship between you and Sagefort Law PLLC. An attorney-client relationship is formed only after the Firm has checked for conflicts of interest, agreed to represent you, and entered into a signed written engagement agreement. Until then, you are not a client of the Firm.

3. Do Not Send Confidential Information

Please do not send the Firm any confidential, sensitive, or time-sensitive information through this Website, the consultation-request form, or unsolicited email until you have received written confirmation that the Firm represents you. Information you submit before an attorney-client relationship is established may not be treated as confidential or privileged, and submitting information to the Firm will not, by itself, prevent the Firm from representing another person in the same or a related matter.

4. Prior Results Do Not Guarantee a Similar Outcome

Any description of the Firm's experience, prior matters, or results, and any testimonial or endorsement that may appear on this Website, does not constitute a guarantee, warranty, or prediction regarding the outcome of any legal matter. Prior results do not guarantee a similar outcome. Every matter is different and is decided on its own facts and applicable law.

5. No Claim of Specialization

Unless a specific statement on this Website expressly says otherwise and includes the disclosures required by the New York Rules of Professional Conduct, nothing on this Website is a claim that any Firm attorney is a specialist or expert or is certified in any field of law.

6. Attorney Admissions and Jurisdiction

The Firm's attorneys are admitted to practice only in the jurisdictions identified on their respective attorney profiles. Content on this Website is not intended to solicit clients, or to offer to provide legal services, in any jurisdiction where doing so would violate that jurisdiction's laws or rules of professional conduct. Descriptions of practice areas do not indicate admission or authorization to practice in any particular jurisdiction.

7. Acknowledgment

By submitting the consultation-request form after acknowledging this Important Notice, you confirm that you have read and understood it.

Legal

Terms of Use

These Website Terms and Conditions (the "Terms") are a legally binding agreement between you and Sagefort Law PLLC, a New York professional limited liability company (the "Firm," "Sagefort," "we," "us," or "our"). These Terms govern your access to and use of https://sagefortlaw.com, including its English-language pages and any Georgian- or Russian-language versions made available later, and its content, functions, forms, and services (collectively, the "Website").

Sagefort Law PLLC The Firm maintains office at 41 Flatbush Avenue, 2nd Floor, Brooklyn, New York 11217. Office visits are by appointment only. The Firm may be contacted at 646-327-4613 or info@sagefortlaw.com.

1. Acceptance of These Terms

By accessing, browsing, or using the Website, you acknowledge that you have read and understood these Terms and agree to be bound by them. If you access or use a Website feature that requires you to click an "I agree," "Submit," "Continue," or similar button presented with notice of these Terms, your click constitutes your electronic acceptance of these Terms.

If you do not agree to these Terms, you must not access or use the Website. If you use the Website on behalf of an organization, you represent and warrant that you have authority to bind that organization, in which case "you" includes both you and the organization.

Certain Website features may be governed by additional terms presented with those features. If additional terms conflict with these Terms, the additional terms control solely with respect to the applicable feature.

2. Changes to These Terms

We may revise these Terms from time to time. The revised version will be posted on the Website with an updated "Last Updated" date shown at the end of this document. Changes apply prospectively when posted unless a later effective date is stated. If required by applicable law, we will provide additional notice or obtain consent before a material change becomes effective.

Your continued use of the Website after revised Terms become effective constitutes acceptance of the revised Terms. Changes will not retroactively alter the parties' rights or obligations with respect to a dispute that arose before the changes became effective.

3. Eligibility; Minors

The Website is intended for persons who are at least 18 years old. By using the Website, you represent that you are at least 18 and have the legal capacity to agree to these Terms.

The Website is not directed to children under 13, and children under 13 may not use the Website or submit personal information through it. If you are a parent or legal guardian and believe that a child under 13 has submitted personal information through the Website, contact us at info@sagefortlaw.com. The Firm's practices concerning personal information are addressed in the separate Privacy Policy.

4. Informational Purposes Only; No Legal Advice

The Website and its content are provided for general informational purposes only. Nothing on the Website constitutes legal advice, a legal opinion, a recommendation concerning a specific matter, or a substitute for advice from qualified counsel who has considered your particular facts and circumstances.

Legal authorities and professional standards may change. Website content may not be complete, current, accurate for your jurisdiction, or applicable to your circumstances. You should not act or refrain from acting in reliance on Website content without obtaining appropriate professional advice.

Descriptions of corporate, commercial, investment, financing, employment, immigration, real-estate, landlord-tenant, dispute-resolution, litigation, and other legal services are general descriptions only. They do not represent that a particular strategy, visa classification, transaction structure, remedy, or outcome is available or appropriate in any matter.

Content concerning founders, investors, financing instruments, market entry, or business transactions is not investment, securities, accounting, or tax advice and is not an offer, solicitation, or recommendation to buy or sell a security or make an investment. References to coordination with tax, intellectual-property, foreign, local, or other specialized counsel do not mean that such services are provided by Sagefort, included in an engagement, or available in every matter.

Immigration content is not affiliated with, endorsed by, or issued by the U.S. Department of Homeland Security, U.S. Citizenship and Immigration Services, the U.S. Department of State, or any other government authority. No visa, petition, application, admission, immigration status, adjudication timeline, or other government action is guaranteed.

5. No Attorney-Client Relationship

Accessing or using the Website, reviewing its content, downloading materials, subscribing to communications, or communicating with the Firm through the Website does not create an attorney-client relationship.

An attorney-client relationship is formed only after the Firm completes its acceptance procedures, including any required conflict review, and the Firm and client enter into a written engagement agreement. No statement in these Terms or on the Website requires the Firm to accept any engagement.

A free, no-obligation initial consultation, if offered and scheduled, is an opportunity to discuss the matter and determine whether the Firm may be able to assist. The consultation does not create an attorney-client relationship unless and until a written engagement agreement is executed. The availability, format, duration, and scope of a consultation may be changed or limited by the Firm, and submission of an inquiry does not guarantee that a consultation will be offered.

6. Communications With the Firm

Website forms, email addresses, telephone numbers, and other contact methods are provided for convenience. The consultation-request form collects a name and email address, may collect a telephone number, and permits a brief description of the legal need. Unless you are an existing client using a communication method approved for your matter, do not include confidential, privileged, sensitive, or time-critical details in a form submission or unsolicited email.

Information submitted before an attorney-client relationship exists may not be confidential or privileged and may be used to evaluate the communication, perform a conflict review, determine whether the Firm can accept a matter, maintain security, prevent fraud, and comply with law. Submission of information does not prevent the Firm from representing another person whose interests may be adverse to yours.

Do not use the Website to report an emergency, satisfy a filing or notice deadline, commence a proceeding, effect service of process, transmit formal legal notice, or assume that a message has been received or reviewed. The Firm does not guarantee a response or response time.

7. Privacy Policy

The Firm's collection, use, disclosure, retention, and protection of personal information are governed by the separate Privacy Policy available at The Firm's Website. The Privacy Policy is incorporated into these Terms by reference solely to the extent necessary to govern use of the Website.

These Terms do not replace any notice, consent, choice, or other requirement that must be provided separately under applicable privacy or data-protection law. If these Terms conflict with the Privacy Policy concerning the treatment of personal information, the Privacy Policy controls.

8. Electronic Communications and Records

When you use the Website, submit a form, or provide an email address, you consent to receive communications relating to your request or Website use electronically, subject to applicable law and the Privacy Policy. Transactional or relationship communications may include acknowledgments, security messages, requested information, and administrative notices.

Electronic communications satisfy any requirement that communications be in writing to the extent permitted by law. You are responsible for maintaining a current email address and for configuring your systems to receive our messages. You may retain a copy of these Terms by printing or saving them.

Nothing in this Section constitutes consent to receive telemarketing calls, marketing text messages, or commercial email where separate consent is required. Where applicable law requires consent before consumer disclosures or records are delivered electronically, that consent is handled outside these Terms and is governed by the applicable law and any separate consent process, which identifies the applicable records, withdrawal rights, paper-copy options, and technical requirements. This Section does not create any obligation of the Firm beyond what applicable law requires.

9. Email Newsletters and Commercial Messages

If you request or subscribe to newsletters, alerts, event notices, or similar communications, the Firm may send the communications you requested and, where permitted by law, related information concerning Firm services. You may unsubscribe from commercial email by using the unsubscribe mechanism in the message or by contacting info@sagefortlaw.com.

Opting out of commercial messages does not affect noncommercial, transactional, security, or relationship communications where those are permitted. You may not use another person's email address to enroll that person without authorization. The handling of commercial email and opt-out requests is governed by applicable law, and nothing in this Section creates any obligation of the Firm beyond what that law requires.

10. Telephone Calls and Text Messages

Providing a telephone number through a general contact or intake form authorizes the Firm to respond to your specific request using reasonable person-to-person communications, subject to applicable law. It does not, by itself, constitute consent to receive telemarketing calls, marketing text messages, artificial or prerecorded voice messages, or calls or texts made using regulated automated technology.

If the Firm offers optional marketing calls or text messages, any consent required by applicable law is handled outside these Terms, through a separate disclosure presented at the point of collection rather than by these Terms. Consent to marketing communications is not a condition of obtaining legal services. Message and data rates may apply, and opt-out instructions accompany any such program. Nothing in this Section creates any obligation of the Firm beyond what applicable law requires.

11. Accessibility

If you have difficulty accessing Website content or need information in an alternative format, contact info@sagefortlaw.com or 646-327-4613 and identify the content and assistance requested. The Firm will consider reasonable efforts to provide access through an appropriate alternative method.

12. Limited License

Subject to these Terms, the Firm grants you a limited, revocable, nonexclusive, nontransferable, and nonsublicensable license to access and use the Website for lawful, personal, noncommercial, informational purposes.

You may print or download a reasonable number of copies of Website content for those purposes, provided that you do not modify the content and retain all copyright, trademark, attribution, and proprietary notices. No other right or license is granted, whether by implication, estoppel, or otherwise.

13. Intellectual Property Rights

The Website and its content, features, functionality, organization, selection, arrangement, appearance, text, articles, alerts, graphics, photographs, audiovisual materials, databases, software, code, and other materials are owned by or licensed to the Firm and are protected by United States and other applicable intellectual-property laws.

The Firm's name, logos, trade names, service marks, and other source identifiers may not be used without prior written permission. Third-party names and marks belong to their respective owners. Nothing on the Website grants a license to use any mark.

14. Prohibited Uses

You must not, directly or through another person or automated system:

  • use the Website for an unlawful, fraudulent, malicious, or unauthorized purpose;
  • violate any applicable law, regulation, court order, contractual duty, or third-party right;
  • submit material that is false, misleading, defamatory, threatening, harassing, obscene, discriminatory, infringing, or otherwise unlawful;
  • impersonate another person, misrepresent your identity or authority, or conceal the origin of a submission;
  • attempt to gain unauthorized access to the Website, servers, accounts, credentials, systems, networks, or data;
  • probe, scan, test, bypass, disable, defeat, or interfere with security, authentication, access controls, rate limits, or technical restrictions;
  • introduce malware, malicious code, denial-of-service activity, or other harmful technology;
  • scrape, crawl, harvest, index, monitor, copy, extract, or aggregate Website content or data by automated means, except through generally available search-engine protocols that we have not instructed such engines to avoid;
  • reverse engineer, decompile, disassemble, decode, or attempt to derive source code from any Website software, except where applicable law expressly prohibits restriction;
  • remove, obscure, or alter proprietary notices;
  • reproduce, modify, adapt, translate, publish, distribute, display, perform, sell, license, frame, mirror, create derivative works from, or commercially exploit Website content without prior written permission;
  • collect information about other users or send spam, phishing messages, chain letters, or unauthorized promotions;
  • use Website content or data to train, fine-tune, test, benchmark, validate, or develop an artificial-intelligence or machine-learning system without the Firm's prior written consent; or
  • assist or permit another person to engage in prohibited conduct.

The Firm may investigate suspected violations and may preserve or disclose relevant information when reasonably necessary to protect rights, maintain security, comply with legal process, or enforce these Terms.

15. User Submissions and Feedback

Information you submit through a private consultation, contact, careers, or other submission function will be handled as described in Sections 5 through 7 and the Privacy Policy. A job posting or invitation to submit application materials is not an offer or promise of employment. The Firm may modify, close, suspend, or withdraw a vacancy at any time, subject to applicable law. The Website is not intended to host public user content unless a feature expressly states otherwise.

If you voluntarily provide nonconfidential suggestions, ideas, corrections, or other feedback concerning the Website ("Feedback"), you grant the Firm a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable license to use, reproduce, modify, distribute, and otherwise exploit that Feedback for any lawful purpose without compensation or attribution. Do not submit Feedback that you do not have the right to provide.

You represent that information you submit is accurate to the best of your knowledge, that you are authorized to submit it, and that its submission does not violate law or another person's rights.

16. Copyright Complaints

The Firm respects intellectual-property rights. If you believe that content on the Website infringes your copyright, send a written notice to Managing Attorney, Sagefort Law PLLC, 41 Flatbush Avenue, 2nd Floor, Brooklyn, New York 11217, info@sagefortlaw.com, identifying the copyrighted work, the allegedly infringing material and its location, your contact information, a statement of good-faith belief, a statement under penalty of perjury that the notice is accurate and that you are authorized to act, and your physical or electronic signature.

This Section provides a reporting method and does not represent that the Firm is eligible for, or has elected to rely on, any statutory safe harbor. If the Website later permits qualifying user-generated content and the Firm elects to seek protection under the Digital Millennium Copyright Act, the Firm must separately designate and register an agent and publish the required agent information.

17. Third-Party Websites, Platforms, and Services

The Website may link to or interact with third-party websites and services, including social-media platforms, maps, embedded content, client intake technology, and a scheduling service used after the Firm reviews an inquiry. Third-party resources are provided for convenience or Website operation and are not controlled by the Firm. Submission of a consultation request does not itself schedule a consultation; if the Firm determines that a consultation is appropriate, it may send a separate scheduling link.

The Firm does not warrant or assume responsibility for third-party content, availability, accessibility, security, products, services, privacy practices, or terms. A link or reference does not necessarily constitute endorsement, sponsorship, approval, or affiliation. Your use of a third-party resource is at your own risk and subject to that third party's terms and policies.

18. No Reliance on Third-Party or Artificial-Intelligence Output

The Website may provide content in English, Georgian, and Russian. A translation may not capture every legal or technical nuance, and versions may not be updated simultaneously. Unless the Website expressly states otherwise, the English-language version controls in the event of an inconsistency concerning these Terms or Website administration.

The Website may also display or link to content generated, summarized, translated, searched, or assisted by automated tools. Such output may contain errors or omissions and must not be treated as legal advice or as a substitute for professional review.

19. Website Availability, Security, and Modifications

The Firm may update, correct, restrict, suspend, withdraw, or discontinue any part of the Website at any time, with or without notice. The Firm does not guarantee that the Website or any content will be continuously available, uninterrupted, timely, secure, accurate, complete, or error-free.

You are responsible for using appropriate devices, internet access, security controls, and current software. You must not rely on the Website as the sole repository for any information or document. Although the Firm may use reasonable safeguards, no internet transmission or information system can be guaranteed to be completely secure.

20. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND ALL CONTENT, FUNCTIONS, AND SERVICES MADE AVAILABLE THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

THE FIRM DISCLAIMS WARRANTIES OF ACCURACY, COMPLETENESS, CURRENCY, RELIABILITY, AVAILABILITY, SECURITY, TITLE, NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. THE FIRM DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE WEBSITE OR ITS SERVERS WILL BE FREE OF HARMFUL COMPONENTS.

Nothing in these Terms excludes or disclaims a warranty, duty, or right that cannot lawfully be excluded or disclaimed.

21. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE FIRM AND ITS CURRENT AND FORMER OWNERS, ATTORNEYS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, DATA, GOODWILL, OR USE, ARISING OUT OF OR RELATING TO THE WEBSITE OR THESE TERMS, WHETHER BASED ON CONTRACT, TORT, STATUTE, STRICT LIABILITY, OR ANOTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF THE FIRM AND THE OTHER PARTIES IDENTIFIED ABOVE FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE WEBSITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT, IF ANY, YOU PAID DIRECTLY TO THE FIRM SOLELY FOR ACCESS TO THE WEBSITE DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

These limitations do not apply to liability that cannot lawfully be limited, including any liability to the extent caused by a party's fraud, willful misconduct, or other conduct for which limitation is prohibited by applicable law. The limitations apply only to claims concerning the Website and do not govern liability arising under a separate attorney-client engagement agreement.

22. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless the Firm and its owners, attorneys, employees, agents, affiliates, licensors, and service providers from claims, liabilities, judgments, damages, losses, and reasonable costs and expenses, including attorneys' fees, arising out of or relating to your unlawful or unauthorized use of the Website, your material violation of these Terms, your infringement or violation of another person's rights, or content you submit.

This obligation does not require indemnification for the Firm's own fraud, willful misconduct, or other conduct for which indemnification is prohibited by law. The Firm may assume control of the defense of a covered matter, and you agree to provide reasonable cooperation. You may not settle a covered claim in a manner that imposes liability, an admission, or a nonmonetary obligation on an indemnified party without that party's written consent.

23. Suspension and Termination

The Firm may restrict, suspend, or terminate your access to all or part of the Website if the Firm reasonably believes you have violated these Terms, created a security or legal risk, misused the Website, or if continued access is no longer operationally feasible.

Upon termination, the license granted to you ends immediately. Provisions that by their nature should survive termination—including provisions concerning intellectual property, Feedback, disclaimers, limitations of liability, indemnification, dispute terms, and general contract terms—will survive.

24. Compliance With Law; Export Controls

You are responsible for complying with laws applicable to your access to and use of the Website. You may not use, export, reexport, transfer, or make the Website or its content available in violation of United States export-control, sanctions, or antiboycott laws.

You represent that you are not prohibited from receiving the Website or its content under applicable United States law. This Section does not require the Firm to provide services to any person or in any jurisdiction.

25. Governing Law

These Terms and disputes arising out of or relating to the Website or these Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles, except to the extent federal law governs a particular issue.

The United Nations Convention on Contracts for the International Sale of Goods does not apply.

26. Exclusive Forum; Individual Proceedings

Subject to any nonwaivable law that provides otherwise, any lawsuit or proceeding arising out of or relating to the Website or these Terms must be brought exclusively in the state courts located in New York County, New York, or the United States District Court for the Southern District of New York, as applicable. You and the Firm consent to personal jurisdiction and venue in those courts and waive objections based on inconvenient forum.

Claims must be brought only in an individual capacity and not as a plaintiff or class member in a purported class, collective, consolidated, mass, or representative proceeding, to the extent this waiver is permitted by applicable law. If the preceding sentence is found unenforceable as to a particular claim or remedy, it will be severed and that claim or remedy may proceed in a court of competent jurisdiction.

Nothing in these Terms prevents either party from seeking temporary or preliminary injunctive relief to protect intellectual-property rights, confidential information, or Website security.

27. Time to Bring Claims

To the extent permitted by applicable law, any claim arising out of or relating to the Website or these Terms must be filed within one year after the claim accrued; otherwise, the claim is permanently barred. This contractual period does not apply where applicable law prohibits shortening the limitations period or provides a nonwaivable period.

28. Force Majeure

The Firm will not be liable for delay, interruption, or failure caused by events beyond its reasonable control, including natural disasters, severe weather, fire, epidemic, pandemic, war, terrorism, civil disorder, labor disputes, government action, utility or telecommunications failure, cyberattack, service-provider failure, or internet disruption. This Section does not excuse an obligation that applicable law does not permit the Firm to disclaim.

29. General Contract Terms

If any provision of these Terms is held invalid, illegal, or unenforceable, it will be enforced to the maximum extent permitted and severed to the minimum extent necessary, and the remaining provisions will remain effective.

The Firm's failure to enforce a provision is not a waiver. A waiver must be in writing and signed by an authorized Firm representative. You may not assign or transfer these Terms or rights under them without the Firm's prior written consent. The Firm may assign these Terms in connection with a merger, reorganization, transfer of the Website, or transfer of substantially all relevant assets, subject to applicable law.

Headings are for convenience only. "Including" means "including without limitation." These Terms do not create a partnership, joint venture, agency, employment, fiduciary, or franchise relationship. Except for the Firm parties expressly protected by the warranty disclaimers, liability limitations, and indemnification provisions, there are no third-party beneficiaries.

These Terms, the Privacy Policy, and any additional terms expressly presented for a Website feature constitute the entire agreement concerning use of the Website and supersede prior or contemporaneous understandings on that subject. They do not supersede an executed attorney-client engagement agreement or another written agreement signed by the Firm.
